Hotel Agent Partner Terms & Conditions

1. Program Overview & Relationship
These Terms and Conditions constitute a binding agreement between you ("Partner", "Agent") and OrderRave Technologies Nigeria Limited ("OrderRave", "we", "us"). By applying for, accessing, or participating in the OrderRave Hotel Agent Referral Program, you agree to comply with all terms herein.
Independent Contractor Status: You operate solely as an independent referral partner. Nothing in this agreement creates an employer-employee relationship, partnership, agency, or joint venture between you and OrderRave. You are not authorized to bind or sign contracts on behalf of OrderRave.
2. Commission Structure & Tier Progression
Commissions are calculated as a percentage of the referred hotel's monthly subscription fee for a maximum duration of twelve (12) consecutive months from the date of the hotel's first successful subscription payment:
* Active hotels are defined as properties with an active paid subscription plan. If a referred hotel cancels or pauses their subscription, commission for that period ceases immediately without clawback on previously disbursed funds.
3. Plan-Scaled Speed Bonuses
Agents who actively assist referred hotels in completing onboarding and first payment within strict time windows are eligible for a one-time speed bonus:
- Within 7 Days of Referral: 50% of the hotel's first month subscription fee.
- Within 14 Days of Referral: 30% of the hotel's first month subscription fee.
- Within 21 Days of Referral: 15% of the hotel's first month subscription fee.
- After 21 Days: Standard recurring commission applies without a speed bonus.
4. Bank Payouts, Thresholds & Withholding Tax (WHT)
- Minimum Payout Threshold: The minimum withdrawable balance is ₦15,000.
- Clearance Hold Period: Commissions undergo a 14-day clearance hold following the hotel's payment before moving to available balance.
- Manual Settlement SLA: Payout requests are reviewed and disbursed manually via Nigerian Commercial Bank transfers within three (3) business days.
- Statutory 5% Withholding Tax: Pursuant to Federal Inland Revenue Service (FIRS) regulations, 5% WHT is deducted at source from gross commissions and remitted accordingly. Net payable amounts reflect this deduction.
5. Attribution Rules & Lead Locks
- Cookie Duration: Referral links set a 60-day attribution cookie on the hotel's device.
- Manual Lead Lock: Manually registered leads via the Agent Portal lock exclusive attribution for 30 days.
- First-Touch Priority: If two agents refer the same hotel, the first validated touchpoint (link click or manual submission timestamp) receives attribution credit.
6. Prohibited Activities & Anti-Fraud
- Self-Referrals: Referring your own hotel, properties where you hold direct ownership/equity, or using identical bank accounts/phone numbers.
- Ghost Hotels: Submitting fake or dormant properties with no genuine guest check-ins.
- Misleading Representation: Posing as an executive employee or official legal representative of OrderRave.
- Spam & Unsolicited Messaging: Mass spamming cold email lists or WhatsApp groups without consent.
7. Term & Termination
Either party may terminate this agreement at any time upon written notice. Upon termination for convenience, accrued available balances exceeding ₦15,000 will be paid out. Termination for cause (fraud, misrepresentation) results in immediate account suspension and cancellation of pending commissions.
